ReadyPO Merchant Terms
Version: 2026-10-30-v1. Published October 30, 2026. Applies to a merchant when validly accepted together with the completed agreement record.
1. Parties and scope
These Terms govern the merchant's use of ReadyPO, provided by B2B Commerce Tools LLC (Provider). The person accepting for the merchant must have authority to bind that business. The agreement record identifies the merchant's legal name, business address, country and authorized business contact, the applicable Shopify store, accepted version and acceptance date. Provider's business address and privacy contact are presented with that record.
ReadyPO is a Shopify app for purchase-order intake, extraction, review/history and creation of Shopify draft orders or buyer carts. The merchant's chosen Shopify features and plan affect company, location and B2B workflows. ReadyPO does not replace Shopify's own agreements or the merchant's agreements with its customers.
2. Authorized use and accounts
Provider grants the merchant permission to use ReadyPO for its own authorized business workflows during the applicable subscription or Free-plan access. The merchant controls staff access, customer-account page activation, notification recipients, purchasing rules and automation settings.
The merchant must protect its accounts, use the service lawfully and provide only data it is authorized to process. It must not submit credentials, payment-card numbers or unrelated sensitive information in purchase orders or support messages; attempt unauthorized tenant access; interfere with the service; or use it to facilitate unlawful activity.
3. Extraction, review and automation
AI extraction and product/address matching can be wrong. The merchant remains responsible for reviewing original documents, customer identity, item matches, quantities, units, prices, taxes, inventory and addresses, and for deciding whether automation is appropriate.
Eligible ready POs can create drafts automatically when enabled by the merchant's settings. A draft or cart is not a paid, fulfilled order. The merchant and buyer remain responsible for final transaction decisions in Shopify. The service does not promise perfect extraction, guaranteed savings or error-free outcomes.
Provider will not use a general accuracy disclaimer to excuse obligations that cannot lawfully be excluded.
4. Plans and billing
Actual prices, billing intervals, included conversions, renewal and cancellation terms are the terms displayed and accepted through Shopify for the selected plan. Free conversions are a lifetime allowance as described in the app; paid conversion allowances follow the displayed allowance periods. Uploading or reviewing alone does not count as a completed conversion.
Pending external outcomes can reserve capacity until reconciled. There are no automatic overage purchases merely because an allowance is exhausted. Additional charges or plan changes require the applicable Shopify approval.
The merchant may cancel through Shopify. Refund requests can be sent to support@b2bcommercetools.com and are reviewed individually. A refund is not automatic or guaranteed by submitting a request or uninstalling the app. Any refund is handled through the applicable Shopify billing process, subject to applicable law and mandatory rights. No automatic proration policy is promised.
5. Merchant content and data
The merchant retains its rights in submitted content. It grants Provider only the permissions needed to deliver, secure and support ReadyPO and handle applicable privacy requests. Provider does not acquire ownership of the merchant's POs or customer list.
The DPA governs processing performed on the merchant's behalf. The Privacy Policy describes processing and contacts. The merchant must give appropriate customer notices, obtain required permissions or other lawful basis, and keep its processing instructions lawful.
6. Service providers and changes
ReadyPO depends on Shopify, hosting, AI and email services. Their outages or platform changes can affect availability and workflows. Provider will describe material service changes and material contract changes before they take effect when required. Existing statutory rights and DPA requirements remain applicable.
No 24/7 support, response-time SLA or measured uptime guarantee is promised by these Terms.
7. Suspension and termination
Provider may restrict affected processing when reasonably necessary to address a security incident, unlawful use, platform requirement or material breach. Where lawful and practicable it will explain the issue and give an opportunity to resolve it. Suspension must not be used to evade applicable access, return or deletion obligations.
The merchant may stop use and uninstall through Shopify. Uninstall stops new processing and removes app sessions; retained records are handled under the DPA, the Privacy Policy and applicable Shopify privacy requests. Uninstall does not delete orders already created in Shopify or recall delivered emails.
8. Return, deletion and support
The merchant may make a verified support request for data return or erasure. Provider will handle it in accordance with the DPA and applicable law, preserving unrelated tenants and customers and resolving mixed/shared-document ownership before claiming completion.
Support contact: support@b2bcommercetools.com. Do not send passwords, recovery codes, payment-card details or entire unrelated customer databases.
9. Limitation of liability
To the maximum extent permitted by applicable law, Provider's total aggregate liability to the merchant for all claims arising out of or relating to ReadyPO, these Terms or the DPA, whether in contract, tort (including negligence) or otherwise, shall not exceed the greater of (a) US$100 or (b) the fees actually paid by that merchant to Provider for ReadyPO, including payments collected through Shopify, during the 12 months immediately preceding the first event giving rise to the claim. Related claims arising from the same event or series of related events are treated together and do not create a separate cap for each claim. Purchase-order amounts, Shopify platform charges and fees for unrelated services are not ReadyPO fees.
To the maximum extent permitted by applicable law, Provider shall not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits or lost revenue constituting such damages, arising out of or relating to ReadyPO, these Terms or the DPA, even if advised of their possibility.
Neither the cap nor the damages exclusion applies to Provider's fraud, willful misconduct or gross negligence, or to liability that applicable law prohibits limiting or excluding. Nothing in these Terms or the DPA limits individuals' or regulators' rights or remedies that cannot lawfully be limited by an agreement between Provider and the merchant.
This section governs the commercial allocation of liability between Provider and the merchant under both these Terms and the DPA. It does not excuse performance of the DPA, change mandatory data-protection duties or override applicable transfer clauses to the extent they must prevail. No additional or separate cap is created merely because a claim arises under the DPA.
10. General provisions
10.1 Service commitments and warranties
Provider will use reasonable care and skill in providing ReadyPO. Except for express commitments in these Terms and the DPA, and to the extent permitted by law, ReadyPO is provided as available without implied warranties of merchantability, fitness for a particular purpose or non-infringement. Provider does not warrant uninterrupted availability, compatibility with every third-party change or error-free extraction. These disclaimers do not reduce express data-protection duties or mandatory rights.
10.2 Responsibility for claims
Each party remains responsible for its own acts and omissions under these Terms and applicable law. These Terms do not create a separate contractual duty for either party to defend or indemnify the other against third-party claims. The liability provisions in section 9 remain applicable to the extent permitted by law.
10.3 Notices and changes
Service and legal notices may be sent to the merchant's designated business contact and to Provider at support@b2bcommercetools.com. The merchant must keep its contact details current. Provider will give at least 30 days' notice of material changes to these Terms or the DPA, unless a shorter period is reasonably necessary for a legal or urgent security requirement, in which case notice will be given as soon as practicable. Changes will not apply retroactively to accrued claims. Any acceptance required by applicable law must be obtained. Shopify plan changes remain subject to Shopify's displayed terms and approval process.
10.4 Governing law and courts
Except where mandatory law requires otherwise, these Terms are governed by Wisconsin law, excluding its conflict-of-law rules. Courts of competent jurisdiction in St. Croix County, Wisconsin, or the United States District Court for the Western District of Wisconsin, will hear disputes. Mandatory rights to bring proceedings elsewhere and the jurisdiction provisions of applicable data-transfer clauses are preserved. These Terms contain no mandatory arbitration or class-action waiver.
10.5 Assignment and independent parties
Neither party may assign these Terms without the other's consent, not to be unreasonably withheld, except in connection with a merger, reorganization or sale of substantially all related business assets where the successor assumes the obligations. Assignment does not itself authorize an incompatible use or unlawful transfer of personal data. The parties are independent contractors; neither may bind the other.
10.6 Order of precedence and entire agreement
Mandatory law and applicable completed transfer clauses prevail to the extent required. The DPA controls conflicts about processing personal data; the terms approved through Shopify control plan prices, billing and allowances; these Merchant Terms control the remaining service relationship. Together they form the agreement about ReadyPO and supersede prior proposals on that subject. The Privacy Policy provides the applicable disclosures and does not reduce an express DPA obligation.
10.7 Severability and waiver
If a provision is unenforceable, it is limited or severed only to the extent necessary, and the remainder continues in effect where lawful. Failure to enforce a provision is not a waiver. Provisions that by their nature must continue after termination, including accrued payment obligations, confidentiality, applicable return/deletion duties, liability and dispute provisions, survive termination.
